Florida LLCs and Corporations file their Annual Report on Sunbiz, the website of the state’s Division of Corporations, between January 1 and May 1 every year, even if nothing changed. Here we explain how it is done, what the state charges and what happens if you miss the deadline.

A dissolved company can be reinstated by filing the reinstatement application and paying the applicable fees. After one calendar year, its name becomes available to other companies.
These are the Annual Report fees published by Sunbiz:
| Type of company | By May 1 | After May 1 |
|---|---|---|
| LLC | $138.75 | $138.75 + $400 late fee |
| For-profit Corporation | $150 | $150 + $400 late fee |
| Nonprofit corporation | $61.25 | $61.25 (no late fee) |
It is the number the state assigned to your company: 6 or 12 characters, and only the first one can be a letter. It is on the electronic notice or the postcard from the Division of Corporations. If you can’t find it, search for your company by name in the Sunbiz search.
On the Sunbiz Annual Report page, enter the document number. The Annual Report is filed online only.
EIN, principal address, mailing address, Registered Agent and the people who run the company (managers in an LLC; officers and directors in a Corporation).
The principal address must be a physical address and can be outside Florida or outside the U.S. The Registered Agent must have a Florida street address.
You sign by typing the signer’s name and title (in an LLC, a manager or a managing member). You pay online by credit or debit card, or by check or money order by mail with the state’s payment voucher.
Once the state processes it, the report is posted on Sunbiz and you can download its image free of charge.

Yes. Sunbiz explains that the Annual Report must be filed every year, whether or not anything changed, for the company to stay active.
Between January 1 and May 1 of the year after the year your company was formed. For example, if you formed it in 2026, the first one is due between January 1 and May 1, 2027.
After May 1 there is a $400 late fee (it doesn’t apply to nonprofit corporations). If it isn’t filed by the 3rd Friday of September, the state dissolves the company at the close of business on the 4th Friday of September. It can be reinstated with a reinstatement application and its fees.
Once submitted, it can’t be changed, canceled or refunded. If you need to update something, you file an amended Annual Report: $50 for an LLC and $61.25 for a Corporation, according to Sunbiz.
For the principal address, yes: it must be a physical address, and Sunbiz accepts addresses outside Florida and outside the country. The mailing address can be a post office box. The Registered Agent, however, must have a Florida street address.
