Built to grow

What is a Corporation and how does it work?

A Corporation is a company with shareholders, a board of directors and officers. It's the most formal structure and is often preferred when you want to grow, bring in new shareholders or attract investors.

Protect your personal assets

The company's debts and obligations stay separate from your personal assets.

Investor-ready

It's divided into shares, so it's easy to add shareholders or receive investment.

Solid structure

Its formal organization, with a board of directors and officers, builds trust with banks, clients and business partners.

Continuity

The company continues to exist even if its owners change: shares can be sold or inherited.

Choose yours

Three options for your Corporation, one team

C-Corp

The traditional corporation. It pays its own tax on profits and can have shareholders from any country and several classes of stock. Ideal if you're looking for investors.

Shareholders from any country

S-Corp

It's not a separate type of company but a tax classification: profits pass through to the shareholders and are reported only once. Requirements: up to 100 shareholders, who must be U.S. citizens or residents, and only one class of stock.

Form 2553 included in every package

Nonprofit

A nonprofit corporation for foundations, churches and associations. It's formed with the same packages. We handle the formation only: we don't file for federal tax exemption, such as 501(c)(3) (it's requested separately from the IRS).

After formation

Your Corporation is formed: now what?

A Corporation has more formalities than an LLC. To keep it active and protecting you, keep the following in mind:

What your Corporation must keep up with

  • Annual Report

Most states require it every year, along with a fee. If you don't file it, the state can dissolve your Corporation.

We handle it with the Annual Compliance Plan
  • Registered Agent

Your Corporation must always have a Registered Agent in the state where it was formed.

Included for the first year in every package
  • Meetings and minutes

Hold at least one annual meeting of the shareholders and of the board of directors, and keep the minutes.

  • Stock ledger

Keep a record of who owns how many shares and of every change.

  • Business bank account

Open it in the Corporation's name with your EIN and incorporation documents.

  • Tax returns

A C-Corp files Form 1120 and an S-Corp files Form 1120-S, plus state returns; some states, such as Delaware and Texas, charge a franchise tax. Plan them with your accountant.

How to keep your protection

If a judge finds that you and your Corporation are “the same thing,” they can disregard the protection and collect from your personal assets. To avoid this:

  • Follow the formalities: meetings, minutes and board decisions in writing.
  • Don't mix your personal money with the company's: use an account just for the Corporation.
  • Sign contracts and invoices in the Corporation's name, stating your title.
  • Keep the Annual Report and the Registered Agent up to date (your Corporation in “good standing”).
  • Keep enough funds in the company to operate and cover its debts.

Questions about Corporations

Frequently asked questions about Corporations

It's a company with shareholders, a board of directors and a more formal structure. It pays its own federal income taxes on its profits (a flat 21% rate), and shareholders pay taxes again when they receive dividends. It's the usual choice when you're looking to raise capital from investors. Source: IRS, Publication 542.

It's not a type of company but a tax classification that some LLCs and Corporations can elect. It has strict requirements: for example, its owners must be U.S. citizens or residents, and there can't be more than 100 of them. If you qualify, Form 2553 is included in all our packages. It's best to evaluate it with an accountant. Source: IRS, S corporations.

It happens with a C-Corp: the company pays tax on its profits, and then the shareholders pay again when they receive dividends. An LLC usually avoids this because profits “pass through” to its owners.

It depends on your business activity, your co-owners and your plans. An LLC is usually simpler; a Corporation is usually preferred if you're looking for investors. We'll talk it over in your free initial consultation. We are not attorneys or accountants: for the tax side, rely on an accountant.

Yes, in the Standard and Premium packages. The Basic package doesn't include them, but you can order them separately in individual services (price: $130). They're your Corporation's internal rules: shareholders, share percentages, decisions and responsibilities. They're delivered in English only.

No. To form your Corporation, you don't need an SSN or ITIN. The EIN can also be obtained without them: without an SSN or ITIN it can't be requested online, but it can with Form SS-4, and we handle it for you (it's included in every package; see how to get an EIN without an SSN or ITIN). Source: IRS, Instructions for Form SS-4.

Yes, we form it with the same Corporation packages. We handle the formation only: we don't file for the federal 501(c)(3) tax exemption. That's a separate application to the IRS: the organization files Form 1023 (or Form 1023-EZ, if it qualifies). For the tax side, rely on an accountant. Source: IRS, About Form 1023.

Yes, both can hire employees once they have an EIN and complete the state's employment and payroll registrations.
