If someone sues your company, the notice (service of process) is delivered to the agent, in the state.
It also receives the state’s official notices for your company.
In Texas, for example, the agent must receive and forward to the company any process, notice or demand served on it.
In Florida it must be a Florida street address; a post office box is not accepted.
So that there is always a known address in the state where your company’s legal notices and official notices can be delivered. Here is how three states handle it:
The company designates an agent who accepts service of process in Florida, with a street address in the state. The company itself can’t be its own agent.
Every filing entity must continuously maintain a registered agent and a registered office in Texas.
If it doesn’t, the state may involuntarily terminate the company (or revoke the registration of a company from another state).
The LLC must designate the Secretary of State as its agent for service of process. It may also designate a registered agent, which is optional.
It depends on each state’s rules. In Florida and Texas, for example, the company can’t be its own agent, but an individual can, if they meet those rules:
An individual associated with the company (owner, officer, director, member or manager) can serve, with a Florida street address. A post office box is not accepted.
An individual Texas resident or an organization registered or authorized to do business in Texas can serve. An officer, owner or employee can be the agent; the entity itself cannot.
In states such as Florida or Texas, you need someone with an address in that state. That is what the Registered Agent service is for.
