1. Purpose and Acceptance
1.1 These Terms and Conditions (the “Terms”) govern access to and use of the website incnnovasolutions.com (the “Site”) and the purchase of services offered by Incnnova Solutions (the “Company”) by any individual or legal entity (the “Client”).
1.2 Purchasing any service or using the Site constitutes full and unconditional acceptance of these Terms and of the Privacy Policy published on the Site, which forms an integral part hereof.
2. Eligibility
2.1 Only persons who are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts may purchase the Company’s services.
3. Nature of the Services
3.1 The Company provides formation and maintenance services for limited liability companies (LLCs) and corporations in the United States of America, as well as complementary brand identity and online presence services, offered through one-time packages (Básico, Medio and Premium), the Annual Compliance Plan (Plan de Cumplimiento Anual) and individual services, the scope of which is described on the Site.
3.2 The Company is not a law firm or a certified public accounting firm. The services consist of processing filings and preparing documents based on the information provided by the Client and do not constitute legal, tax or accounting advice. The Client acknowledges that, for such matters, the Client should consult a duly licensed professional.
3.3 For nonprofit corporations, the Company provides the formation service only. The Company does not prepare or file applications for federal tax exemption, such as Form 1023 for 501(c)(3) status.
3.4 When the Company acts as the Client’s Registered Agent, documents received for the Client’s company are scanned and sent to the Client by email, with a notice via WhatsApp.
4. Prices and Payment
4.1 Prices are stated in United States dollars (USD) and may vary depending on the state in which the company is formed.
4.2 The price of each package includes the fee charged by the state to form the company. The price of the Annual Compliance Plan and of individual services includes the applicable state fee when the filing requires one, such as the Annual Report, the assumed business name (DBA) registration or the formation filing. The price of the Annual Compliance Plan also includes the fixed annual tax or fee that the state charges the company, such as California’s $800 annual LLC tax. Taxes or fees that depend on the company’s sales, income or profits (such as the Texas franchise tax), newspaper publication required by some states and late fees or penalties charged by any state for late filings are not included and are paid separately.
4.3 Packages are paid in a single payment. The Registered Agent, Annual Compliance Plan and virtual address services are paid per period, annually or monthly depending on the service.
4.4 Card payments (Visa, Mastercard and American Express) are made online on the order page and are processed by a third-party payment processor (Stripe). The Company does not store the Client’s full card number. Payments by PayPal, Zelle, bank transfer, Apple Pay or Google Pay are arranged with an advisor via WhatsApp.
4.5 The Company will begin providing the service once the three (3) day period set forth in Section 8 has elapsed.
4.6 If a published price contains an obvious error, the Company will notify the Client, who may choose either to pay the correct price or to receive a full refund of the amount paid.
5. Client Obligations
5.1 The Client agrees to: (a) provide truthful, complete and timely information, including information about the company and its owners and any required identification documents; (b) review the documents sent by the Company and report any errors; (c) comply with the company’s obligations after formation, including tax obligations, annual reports and any licenses or permits required for its business; and (d) use the services for lawful purposes only.
5.2 Corrections or refilings resulting from incomplete or inaccurate information provided by the Client will incur an additional charge.
6. Communications
6.1 The Client agrees to receive communications regarding the Client’s service by email and WhatsApp. Communications sent through such channels shall have the same validity as formal notice.
7. Timelines and Third Parties
7.1 Performance of the services depends in part on third parties, including state offices, the Internal Revenue Service (IRS), banks and other providers. Timelines provided by the Company are estimates, and the Company does not guarantee timelines or approvals that depend on such third parties.
7.2 In particular: (a) the availability of the company name is final only once the state approves the filing; (b) the EIN is assigned by the IRS according to its own timelines; and (c) the opening of a business account with Lili, available only to clients in Latin America, is subject to Lili’s approval and requirements.
8. Refunds
8.1 The Client shall have three (3) days from the date of payment to submit a formal refund request. After such period, the Company will begin providing the service, including filing the company with the state, and no refund shall be issued.
8.2 This Section applies to all of the Company’s services: packages, the Annual Compliance Plan and individual services.
8.3 Refund requests must be submitted by phone call or WhatsApp message to +1 (385) 410-4660, stating the Client’s name and the service purchased. If approved, the refund will be issued to the original payment method.
8.4 The Client is encouraged to contact the Company before initiating any dispute with the Client’s bank.
9. Cancellations and Renewals
9.1 The monthly virtual address service may be canceled by notifying the Company at least fifteen (15) days before the next billing date. If notice is received less than fifteen (15) days in advance, the following month will be charged.
9.2 The annual virtual address, Registered Agent and Annual Compliance Plan services have a term of twelve (12) months and do not renew automatically. Before expiration, the Company will notify the Client, and renewal will take place only upon the Client’s acceptance.
9.3 Every company must maintain a Registered Agent in its state. If the Client does not renew this service with the Company, the Client is responsible for appointing another Registered Agent.
9.4 The basic website includes hosting and a domain for one (1) year. In the Premium package, hosting is included for one (1) year, and the domain and business email for two (2) years. Upon expiration, the Company will notify the Client, and renewal, at the applicable cost, will take place only upon the Client’s acceptance.
10. Intellectual Property
10.1 Once a design service (logo, brand identity, business cards or website) has been paid in full, the final designs shall be the property of the Client. The Company may display such work in its portfolio.
11. Limitation of Liability
11.1 The Company shall not be liable for indirect damages, lost profits or decisions made by third parties, including the state, the IRS, banks or other providers. In any event, the Company’s maximum liability shall be limited to the amount paid by the Client for the service giving rise to the claim.
12. Governing Law and Language
12.1 These Terms are governed by the laws of the State of Utah, United States of America. Before filing any claim, the parties shall attempt to resolve their differences in good faith.
12.2 These Terms are written in English. Any translation is provided for convenience only, and the English version shall prevail.
13. Amendments
13.1 The Company may amend these Terms at any time. Amendments shall apply to all clients from the date of their publication on the Site. The “Last updated” date indicates the version in effect.
